1. Introduction and Acceptance of Terms

Welcome to AGEDEZ, a specialized digital marketplace for the sale and distribution of engineering drawings, technical files, CAD models, schematics, and related professional documents (collectively, “Engineering Files”). AGEDEZ is operated under the laws of the Kingdom of Thailand.

These Terms and Conditions for Customers (“Terms”) set out the rules that apply when you browse AGEDEZ, create an account, and purchase or download Engineering Files. By accessing AGEDEZ, registering an account, or completing a purchase, you agree to be bound by these Terms in their entirety. If you do not agree, you must not continue to use AGEDEZ.

These Terms constitute a legally binding agreement between you and AGEDEZ under the Electronic Transactions Act B.E. 2544 (2001) and related Thai legislation. They should be read together with the AGEDEZ Terms of Use & Vendor Agreement, which also applies to Buyers, and with our Privacy Policy and Cookie Policy.

AGEDEZ reserves the right to amend these Terms at any time. Continued use of the platform after a change constitutes acceptance of the updated Terms. Significant changes will be communicated via email or a prominent notice on the platform. Purchases already completed remain governed by the Terms in force at the time of purchase.

2. Definitions

For the purposes of these Terms, the following definitions apply. Words in the singular include the plural and vice versa, and references to any gender include all genders.

• “Customer”, “Buyer”, “You” and “Your” mean the person who accesses AGEDEZ, registers an account, or purchases or downloads Engineering Files, and who accepts these Terms.

• “AGEDEZ”, “the Company”, “We”, “Our” and “Us” mean AGEDEZ, the owner and operator of the platform at agedez.com.

• “Party” or “Parties” means you and AGEDEZ, individually or together.

• “Vendor” or “Seller” means any registered user who lists Engineering Files for sale on AGEDEZ.

• “Engineering Files” means any digital file containing technical, engineering, or design content, including but not limited to CAD files, AutoCAD drawings (.dwg, .dxf), SolidWorks files (.sldprt, .sldasm), technical schematics, electrical diagrams, ladder diagrams, PLC programs, mechanical blueprints, and associated documentation.

• “Listing” means a product page created by a Vendor describing an Engineering File offered for sale.

• “Sale Price” means the price set by the Vendor for a specific Listing, as displayed at checkout.

• “Comments” means reviews, ratings, questions, opinions, and other information posted by users in the interactive areas of AGEDEZ.

• “Payment Processor” means Stripe or any other third-party payment service provider that AGEDEZ uses to process payments and refunds.

• “PDPA” means the Personal Data Protection Act B.E. 2562 (2019) of Thailand.

3. About AGEDEZ

AGEDEZ provides an online marketplace connecting professional engineers, designers, and technical practitioners (Vendors) with Customers who require engineering drawings and technical documentation. The platform is intended for legitimate professional and commercial use.

AGEDEZ acts solely as an intermediary marketplace under the Electronic Transactions Act B.E. 2544 (2001). Engineering Files are created and supplied by Vendors. AGEDEZ does not itself create, verify, certify, or endorse any Engineering File, does not provide engineering advisory services, and is not responsible for the technical accuracy, fitness for purpose, or regulatory compliance of any file, except as expressly stated in these Terms.

4. Eligibility and Account Registration

4.1 Eligibility

• You must be at least 20 years of age (the age of majority under the Thai Civil and Commercial Code) and legally capable of entering into binding contracts.

• Minors aged 18–19 may register and purchase only with written consent from a legal guardian, consistent with Sections 21–27 of the Thai Civil and Commercial Code.

• You must not be located in a jurisdiction where use of this platform is prohibited by law.

• If you purchase on behalf of a business, you confirm that you have authority to bind that business to these Terms.

4.2 Your Account

• You agree to provide accurate, complete, and current information during registration and checkout, and to keep that information up to date.

• You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us immediately at support@agedez.com if you suspect unauthorized use.

5. Purchasing and Payment

• Prices are set by Vendors and displayed in Thai Baht (THB) or United States Dollars (USD). The total amount payable, including any applicable Value Added Tax (VAT) at 7% under the Revenue Code of Thailand, is shown before you confirm your order.

• Payments are processed securely by our Payment Processor (Stripe). AGEDEZ does not store your full card details. Your use of the payment service is also subject to the Payment Processor’s own terms.

• A contract for the purchase of an Engineering File is formed when your payment is successfully authorized and you receive an order confirmation. Tax invoices or receipts will be issued in accordance with Thai law.

• Please review the Listing description and preview files carefully before purchase, including the file format and the software (and version) required to open the file.

6. License to Use Purchased Engineering Files

Upon successful payment, you receive a non-exclusive, non-transferable, single-user license to use the purchased Engineering File for the purpose described in the Listing. Ownership of the intellectual property in the file remains with the Vendor or its licensors. Unless the Listing explicitly states otherwise:

• You may use the Engineering File for your own internal professional or commercial projects.

• You may not resell, sublicense, rent, share, redistribute, or otherwise transfer the Engineering File, in whole or in part, to any third party.

• You may not upload the Engineering File, or any file derived from it, to AGEDEZ or any other marketplace, file-sharing site, or public repository.

• You may not use the Engineering File to create derivative works for commercial resale without the Vendor’s written consent.

• You may not remove or obscure any copyright notice, title block, watermark, or author attribution in the file.

7. Download and Confirmation

• Download your purchased Engineering File within the 5-day File Access Window. We recommend keeping your own backup copy, as continued availability after this window is not guaranteed.

• Open and check the file promptly. You have 1 calendar day from download to raise a dispute. You may also confirm successful download, which completes the transaction immediately.

• Verify file compatibility with your software before purchase using the Listing details and preview files provided.

8. Refund Policy

We stand behind the files sold on AGEDEZ, and your satisfaction is important to us. Because Engineering Files are digital goods delivered by electronic download, all sales are generally final and a change of mind is not a ground for a refund. However, in accordance with the Consumer Protection Act B.E. 2522 (1979) and the Electronic Transactions Act B.E. 2544 (2001), AGEDEZ will process refunds in the following circumstances:

• The file downloaded is materially different from what was described in the Listing;

• The file is corrupt, password-protected without prior disclosure, contains malicious code, or is entirely unusable;

• The Vendor has been found to have engaged in fraudulent misrepresentation; or

• The transaction qualifies for reversal under applicable Thai consumer protection regulations.

8.1 How to Request a Refund

• Submit your request through the AGEDEZ dispute resolution process in your account dashboard, or by email to support@agedez.com, within 1 calendar day of download. Include your order number, a description of the problem, and supporting evidence such as screenshots or error messages.

• During the review, the Vendor may be given the opportunity to fix the issue and supply a corrected file. If you accept the corrected file, the dispute is closed.

• If the issue is not resolved and your request is approved, you will receive a refund of 100% of the product price you paid. The refund is issued to your original payment method through Stripe within 7 business days of approval. The time it takes for the refund to appear on your statement depends on your card issuer or bank.

• Where a refund is granted, your license to the Engineering File ends and you must delete all copies of the file.

9. Website Content and Intellectual Property

Unless otherwise stated, AGEDEZ and/or its licensors own the intellectual property rights in the AGEDEZ platform and all of its material, including its design, text, graphics, logos, and software, protected under the Copyright Act B.E. 2537 (1994) of Thailand. Engineering Files remain the property of their respective Vendors or licensors. All intellectual property rights are reserved. You may access AGEDEZ for your own use, subject to the restrictions in these Terms.

You must not:

• Republish material from AGEDEZ;

• Sell, rent, or sub-license material from AGEDEZ;

• Reproduce, duplicate, or copy material from AGEDEZ, except as permitted by the license in Section 6;

• Redistribute content from AGEDEZ; or

• Use automated tools (such as bots, scrapers, or crawlers) to extract Listings, previews, or files from AGEDEZ without our written permission.

If you believe that any content on AGEDEZ infringes your intellectual property rights, please send a formal notice to legal@agedez.com identifying the work, the infringing content and its location on AGEDEZ, your contact information, and a statement that the information in the notice is accurate.

10. Comments and Reviews

Parts of AGEDEZ allow users to post and exchange opinions and information, including reviews of Engineering Files. AGEDEZ does not filter, edit, publish, or review Comments before they appear on the website. Comments do not reflect the views and opinions of AGEDEZ, its agents, or its affiliates; they reflect the views and opinions of the person who posts them. To the extent permitted by applicable law, AGEDEZ is not liable for Comments or for any liability, damages, or expenses caused or suffered as a result of any use, posting, or appearance of Comments on the website.

AGEDEZ reserves the right to monitor all Comments and to remove any Comment that is inappropriate, offensive, or breaches these Terms.

By posting a Comment, you warrant and represent that:

• You are entitled to post the Comment on our website and have all necessary licenses and consents to do so;

• The Comment does not infringe any intellectual property right, including without limitation any copyright, patent, or trademark of any third party;

• The Comment does not contain any defamatory, libelous, offensive, indecent, or otherwise unlawful material, or material that invades anyone’s privacy;

• The Comment is an honest account of your own experience and will not be used to solicit or promote business, or to present commercial or unlawful activity.

You grant AGEDEZ a non-exclusive license to use, reproduce, edit, and authorize others to use, reproduce, and edit any of your Comments in any and all forms, formats, or media for the purpose of operating and promoting the platform.

11. Linking to AGEDEZ

11.1 Links Permitted Without Approval

The following organizations may link to our website without prior written approval:

• Government agencies;

• Search engines;

• News organizations;

• Online directory distributors, in the same manner as they link to the websites of other listed businesses; and

• System-wide accredited businesses, except soliciting non-profit organizations, charity shopping malls, and charity fundraising groups, which may not link to our website.

These organizations may link to our home page, to publications, or to other website information so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement, or approval of the linking party and its products or services; and (c) fits within the context of the linking party’s site.

11.2 Links Requiring Approval

We may consider and approve link requests from the following types of organizations:

• Commonly known consumer and/or business information sources;

• Online community sites;

• Associations or other groups representing charities;

• Online directory distributors;

• Internet portals;

• Accounting, law, and consulting firms; and

• Educational institutions, engineering institutions, and trade associations.

We will approve a link request if we decide that: (a) the link would not reflect unfavorably on us or on our Vendors; (b) the organization does not have any negative record with us; (c) the benefit to us from the visibility of the link outweighs any disadvantage; and (d) the link is in the context of general resource information. Approved links must meet the same conditions (a) to (c) set out in Section 11.1.

To request approval, email agedez782@gmail.com with your name, your organization name, contact information, the URL of your site, a list of URLs from which you intend to link to our website, and a list of the URLs on our site to which you would like to link. Please allow 2–3 weeks for a response.

Approved organizations may link to our website by using our corporate name; by using the uniform resource locator being linked to; or by using any other description of our website that makes sense within the context and format of content on the linking party’s site. No use of the AGEDEZ logo or other artwork is allowed for linking without a trademark license agreement.

11.3 iFrames

Without prior approval and written permission, you may not create frames around our web pages that alter in any way the visual presentation or appearance of our website.

11.4 Content Liability

We are not responsible for any content that appears on your website. You agree to protect and defend us against all claims arising from your website. No link to AGEDEZ may appear on any website that may be interpreted as libelous, obscene, or criminal, or that infringes, otherwise violates, or advocates the infringement or other violation of, any third-party rights.

11.5 Removal of Links

We reserve the right to request that you remove all links, or any particular link, to our website, and you agree to remove them immediately upon request. By continuing to link to our website, you agree to be bound by and follow these linking terms.

If you find any link on our website that is offensive for any reason, you may contact us at any time. We will consider requests to remove links, but we are not obliged to do so or to respond to you directly.

12. Privacy, Personal Data and Cookies

AGEDEZ collects and processes personal data in accordance with the Personal Data Protection Act B.E. 2562 (PDPA) of Thailand, as described in our Privacy Policy at https://agedez.com/privacy. Payment card data is processed by Stripe and is not stored by AGEDEZ.

Under the PDPA you have the right to be informed; to access your personal data; to request rectification, erasure, or restriction of processing; to data portability; and to object to processing, in each case as provided by law. To exercise these rights, contact our Data Protection Officer at dpo@agedez.com.

AGEDEZ retains personal data only for as long as necessary for the purposes for which it was collected, or as required by Thai law. Financial transaction records are retained for a minimum of 5 years in accordance with Thai accounting and tax regulations. Where personal data is transferred outside Thailand, AGEDEZ will ensure appropriate safeguards are in place as required by the PDPA.

12.1 Cookies

AGEDEZ uses cookies and similar technologies to retrieve user details for each visit, keep you signed in, enable the functionality of certain areas of the website, and understand how the website is used. Some of our affiliate and advertising partners may also use cookies. By accessing AGEDEZ, you consent to the use of cookies in accordance with our Cookie Policy at https://agedez.com/cookies. You may withdraw consent for non-essential cookies at any time through your browser settings or our consent management tool.

13. Disclaimers and Limitation of Liability

13.1 Platform Disclaimer

AGEDEZ provides the platform on an “as is” and “as available” basis. To the maximum extent permitted by Thai law, we exclude all representations, warranties, and conditions relating to our website and its use. We do not warrant that the information on the website is complete, accurate, or up to date, or that the website will remain available without interruption.

13.2 Engineering Liability Disclaimer

Engineering Files purchased on AGEDEZ are reference documents only. Any file used as the basis for actual construction, manufacture, fabrication, installation, or operation of engineering systems must be independently reviewed, verified, stamped, and certified by a licensed professional engineer registered with the Council of Engineers of Thailand (COE) or the relevant competent authority. AGEDEZ accepts no liability for any injury, property damage, financial loss, regulatory penalty, or other consequence arising from reliance on Engineering Files obtained through the platform.

13.3 Viruses, Malware and Software Problems

Vendors are required to supply files free of viruses, malware, and harmful code. However, AGEDEZ cannot guarantee that every file or download is free from such code or from software defects. You are responsible for scanning downloaded files with up-to-date security software before opening them and for keeping backups of your own systems and data. A file found to contain malicious code qualifies for a refund under Section 8.

13.4 Third-Party Software and Licensing

Engineering Files may require third-party software (for example, AutoCAD or SolidWorks) to open or edit. You are solely responsible for holding a valid license for any software you use. Any complaint or claim of copyright or license infringement from a software provider arising from your use of its software is a matter between you and that software provider directly. AGEDEZ is not involved in any such infringement and bears no joint liability or responsibility to that software provider.

13.5 Limitation of Liability

To the maximum extent permitted by Thai law (including the Civil and Commercial Code of Thailand), AGEDEZ’s total aggregate liability to you for any claim shall not exceed the greater of: (a) the total amount you paid for the Engineering File(s) giving rise to the claim in the 12 months preceding the claim; or (b) THB 3,000. AGEDEZ is not liable for any indirect or consequential loss, or for loss of profit, business, data, or goodwill.

Nothing in these Terms will:

• Limit or exclude our or your liability for death or personal injury caused by negligence;

• Limit or exclude our or your liability for fraud or fraudulent misrepresentation;

• Limit any of our or your liabilities in any way that is not permitted under applicable law; or

• Exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and exclusions of liability in this Section and elsewhere in these Terms: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under these Terms, including liabilities arising in contract, in tort, and for breach of statutory duty.

14. Suspension and Termination of Access

AGEDEZ may suspend or restrict your use of or access to AGEDEZ, temporarily or permanently, with or without notice, if:

• You breach these Terms, including the license restrictions in Section 6;

• There is a complaint of misconduct or inappropriate use of AGEDEZ, such as fraudulent purchases, abuse of the refund process, chargeback abuse, or unauthorized redistribution of purchased files;

• Your conduct is contrary to good morals, Thai law, or international law; or

• We receive a request or complaint from a government agency or other competent authority.

To the maximum extent permitted by Thai law, you agree not to bring any claim, lawsuit, or complaint seeking damages from AGEDEZ for a suspension or restriction made in good faith under this Section. This does not affect any refund to which you are entitled for a completed purchase, or your statutory rights as a consumer. Provisions relating to intellectual property, license restrictions, liability, indemnification, PDPA compliance, and governing law survive termination.

15. Indemnification

You agree to defend, indemnify, and hold harmless AGEDEZ, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the platform; (b) any breach of these Terms or applicable Thai law; (c) any use, redistribution, or modification of Engineering Files in breach of the license in Section 6; (d) any Comment you post; or (e) any infringement of third-party rights, including third-party software licenses, by you.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, including the Civil and Commercial Code, the Electronic Transactions Act B.E. 2544 (2001), the Computer Crime Act B.E. 2550 (2007), the Consumer Protection Act B.E. 2522 (1979) and its amendments, the Copyright Act B.E. 2537 (1994), the Personal Data Protection Act B.E. 2562 (2019), and the Revenue Code of Thailand.

16.2 Disputes with Vendors

AGEDEZ provides an internal dispute resolution mechanism accessible from your account dashboard. Disputes must be raised within 1 calendar day of download. AGEDEZ will review disputes and issue a determination within 5 business days. AGEDEZ’s determination is final within the platform context, without prejudice to your statutory rights.

16.3 Jurisdiction

Any dispute not resolved through the internal process shall be subject to the exclusive jurisdiction of the competent courts in Bangkok, Thailand.

16.4 Consumer Rights

Nothing in these Terms affects any statutory rights you may have as a consumer under Thai law, including rights under the Consumer Protection Act B.E. 2522 (1979) and the Unfair Contract Terms Act B.E. 2540 (1997). In the event of any conflict between these Terms and mandatory Thai consumer protection law, Thai law shall prevail.

17. General Provisions

• Entire Agreement: These Terms, together with the AGEDEZ Terms of Use & Vendor Agreement, the Privacy Policy, and the Cookie Policy, constitute the entire agreement between you and AGEDEZ regarding your use of the platform as a Customer.

• Severability: If any provision is found to be invalid or unenforceable under Thai law, the remaining provisions continue in full force and effect.

• No Waiver: Failure by AGEDEZ to enforce any provision shall not constitute a waiver of that provision.

• Assignment: You may not assign your rights or obligations under these Terms. AGEDEZ may assign its rights to any successor entity.

• Language: These Terms are drafted in English. A Thai-language version is available upon request. In the event of any conflict between the English and Thai versions, the Thai version shall prevail to the extent required by Thai law.

• Unfair Contract Terms: Any provision found to be unfair under the Unfair Contract Terms Act B.E. 2540 (1997) shall be modified to the minimum extent necessary to be fair and enforceable.
